1. Acceptance of Terms

- Be present at the designated delivery address or pickup location within the time window specified in your order confirmation;

4.2 Prohibited Activities
You agree that you will not, under any circumstances:

Violation of these prohibited activities may result in immediate termination of your account and access to our Services, and may expose you to civil and criminal liability under applicable law, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Federal Trade Commission Act (15 U.S.C. § 45), and applicable state laws.
5. Ordering, Payment Terms, and Pricing
5.1 Placing Orders
When you place an order through our website or in person, you represent that all information you provide is accurate and complete. All orders are subject to acceptance and availability. Pizza Factory reserves the right to refuse or cancel any order at any time for any reason, including but not limited to errors in pricing, unavailability of menu items, suspected fraud, or violations of these Terms.
An order confirmation does not constitute final acceptance of your order. Pizza Factory retains the right to cancel confirmed orders if items become unavailable, if there is an error in the price displayed, or for any other reason at our sole discretion. In the event of such cancellation, you will receive a full refund of any amounts charged.
5.2 Pricing and Taxes
All prices listed on our menu and website are in United States Dollars (USD) and are subject to change without prior notice. Prices do not include applicable federal, state, or local taxes, delivery fees, service fees, or gratuity unless expressly stated. Applicable sales taxes will be calculated and added to your order total at checkout in accordance with the tax laws of the applicable jurisdiction.
5.3 Payment
Pizza Factory accepts major credit cards, debit cards, and other payment methods as indicated on our website. By providing payment information, you represent and warrant that (a) you are authorized to use the payment method provided; (b) the payment information is accurate and complete; and (c) you authorize Pizza Factory to charge your payment method for the full amount of your order, including applicable taxes and fees.
All payments are processed through secure, third-party payment processors. Pizza Factory does not store your full credit card or financial account details on its servers. You agree to be bound by the terms and conditions of your payment provider in addition to these Terms.
5.4 Refunds and Cancellations
Due to the perishable nature of food products, all sales are generally final once an order has been prepared. Pizza Factory will evaluate all complaints on a case-by-case basis and may, at its sole discretion, offer a refund, store credit, or replacement order.
Cancellation requests must be submitted before the order enters the preparation stage. Once food preparation has commenced, cancellations may not be accepted. Pizza Factory is not responsible for delays caused by delivery carriers, weather events, traffic conditions, or other circumstances beyond our reasonable control.
6. Intellectual Property Rights
All content, materials, and elements available through the Pizza Factory website and Services, including but not limited to text, graphics, logos, icons, images, photographs, audio and video clips, digital downloads, data compilations, software, trademarks, service marks, trade names, and the overall look and feel of the website (collectively, "Content"), are the exclusive property of Pizza Factory or its content suppliers and licensors, and are protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.) and the Lanham Act (15 U.S.C. § 1051 et seq.).

- WARRANTIES THAT THE WEBSITE OR SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES;
- WARRANTIES THAT DEFECTS OR ERRORS WILL BE CORRECTED, OR THAT THE WEBSITE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Pizza Factory does not warrant or guarantee that food products will meet any specific dietary, nutritional, or allergen requirements beyond what is expressly stated. Customers with food allergies, intolerances, or specific dietary needs are solely responsible for reviewing all ingredient and allergen information and consulting with our staff before placing an order. Cross-contamination with allergens may occur in our kitchen environment.
Some jurisdictions do not allow the exclusion of implied warranties; in such jurisdictions, the above exclusions apply to the fullest extent permitted by applicable law.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIZZA FACTORY, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF PIZZA FACTORY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PIZZA FACTORY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PIZZA FACTORY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
The limitations of liability set forth herein reflect a reasonable allocation of risk between the parties and form an essential basis of the bargain between you and Pizza Factory. Pizza Factory would not be able to provide the Services on an economically viable basis without these limitations.
Certain jurisdictions, including some U.S. states, do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by applicable law.
9. Indemnification
You agree to defend, indemnify, and hold harmless Pizza Factory and its owners, officers, directors, employees, contractors, agents, licensors, suppliers, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:
- Your use of or access to the Services or website;
- Your violation of any provision of these Terms;
- Your violation of any applicable federal, state, or local law, rule, or regulation;
- Your violation of any third-party right, including but not limited to any intellectual property right, privacy right, or proprietary right;
- Any content you submit, post, or transmit through the Services;
- Any dispute you have with another user, customer, or third party in connection with the Services;
- Any fraudulent, negligent, or otherwise wrongful conduct by you in connection with the Services.
Pizza Factory reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Pizza Factory's defense of such claims. You agree not to settle any such matter without Pizza Factory's prior written consent.
10. Food Safety, Allergens, and Health Information
Pizza Factory is committed to maintaining high standards of food safety and quality. Our food preparation facilities are operated in compliance with applicable federal, state, and local food safety regulations, including those administered by the U.S. Food and Drug Administration (FDA) and applicable state health departments.
However, you acknowledge and agree that:
- Pizza Factory cannot guarantee that any food item is completely free from all allergens, as cross-contact may occur during food preparation;
- Nutritional and caloric information provided is based on standard recipes and may vary depending on portion size, preparation method, and ingredient substitutions;
- Customers with severe food allergies should exercise caution and speak directly with our staff before ordering;
- Pizza Factory is not liable for any allergic reactions, adverse health effects, or other medical consequences resulting from the consumption of our food products, except to the extent caused by our gross negligence or willful misconduct.

13. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or related to these Terms, your use of the Services, or any products or services provided by Pizza Factory shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Pizza Factory's principal place of business is located, without regard to any conflict of law principles that would require the application of the laws of another jurisdiction.
Subject to the dispute resolution provisions set forth in Section 14 below, you hereby consent to the exclusive personal jurisdiction and venue of the state and federal courts located in the applicable state and county of Pizza Factory's principal place of business for the resolution of any disputes not subject to arbitration. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
If you are accessing the Services from outside the United States, you do so at your own risk and are solely responsible for compliance with local laws. We make no representation that our Services are appropriate or available for use in locations outside the United States.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or related to these Terms or the Services (each, a "Dispute") by contacting Pizza Factory informally at [email protected] and providing a written description of the Dispute, the relief sought, and your contact information. The parties agree to make good-faith efforts to resolve the Dispute informally for a period of at least thirty (30) days from the date of the written notice before proceeding to formal dispute resolution.
14.2 Binding Arbitration
If the parties are unable to resolve a Dispute through informal negotiation within the thirty (30) day period, either party may elect to resolve the Dispute through final and binding individual arbitration, rather than in court. The arbitration shall be conducted by a recognized arbitration organization under its applicable commercial arbitration rules. The arbitration shall take place in the state where Pizza Factory's principal place of business is located, or at another mutually agreed upon location.
THE PARTIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator shall not have the authority to consolidate claims from multiple individuals or to preside over any class, representative, or private attorney general action.
Notwithstanding the foregoing, either party may seek emergency equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration, and either party may bring a claim in small claims court for disputes within that court's jurisdictional limit.
14.3 Exceptions
The arbitration requirement does not apply to claims by Pizza Factory for injunctive or other equitable relief to protect its intellectual property rights or confidential information, or to claims that are expressly excluded from arbitration by applicable law.
15. Term and Termination
These Terms shall remain in full force and effect for as long as you use our Services or maintain an account with Pizza Factory. Pizza Factory may, in its sole discretion, with or without cause, and with or without notice, immediately terminate your access to the Services or your account, including if Pizza Factory believes that you have violated or acted inconsistently with these Terms, or if required by applicable law or regulation.
You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Upon termination, your right to use the Services will immediately cease. Any pending orders at the time of termination will be fulfilled and you will be charged accordingly.
Upon termination, the following provisions shall survive and remain in full force and effect: Intellectual Property Rights (Section 6), Disclaimers (Section 7), Limitation of Liability (Section 8), Indemnification (Section 9), Governing Law (Section 13), Dispute Resolution (Section 14), and any other provisions that by their nature should survive termination.
Termination of your account does not relieve you of any obligations or liabilities incurred prior to termination, including any payment obligations for orders placed before termination.
16. Changes to Terms of Service
Pizza Factory reserves the right to modify, update, or revise these Terms at any time in its sole discretion. We will notify you of material changes to these Terms by posting the revised Terms on our website with an updated "Last Updated" date at the top of this page, and, where required by applicable law or in our sole discretion, by providing notice through other means such as email notification to the address associated with your account.
Your continued use of the Services following the posting of revised Terms constitutes your acceptance of and agreement to the revised Terms. If you do not agree to the revised Terms, you must stop using the Services immediately. We encourage you to review these Terms periodically to stay informed of any updates.
If any changes are made that materially and adversely affect your rights under these Terms, we will provide at least thirty (30) days' advance notice where reasonably practicable, unless changes are required by applicable law, in which case they shall take effect immediately.
17. Severability
If any provision, clause, or part of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, unlawful, void, unenforceable, or in conflict with any applicable law or regulation, such provision shall be deemed severed from these Terms to the minimum extent necessary, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. The failure of Pizza Factory to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver by Pizza Factory of any default or breach shall not be deemed a continuing waiver or a waiver of any subsequent default or breach, and shall not affect the other terms of these Terms.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices, policies, or agreements published by Pizza Factory on the website or provided to you in writing, constitute the entire agreement between you and Pizza Factory with respect to the subject matter hereof, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Services.
These Terms do not create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Pizza Factory. You have no authority to make or accept any offers or representations on our behalf.
19. Force Majeure
Pizza Factory shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, acts of government, war, terrorism, civil unrest, labor disputes, power outages, internet or telecommunications failures, supply chain disruptions, or any other unforeseen circumstance beyond Pizza Factory's reasonable control (each, a "Force Majeure Event").
In the event of a Force Majeure Event, Pizza Factory will use commercially reasonable efforts to resume performance as soon as practicable and will notify customers of any material impact on Services where feasible.
20. Accessibility
Pizza Factory is committed to making our website and Services accessible to individuals with disabilities in accordance with applicable law, including the Americans with Disabilities Act (ADA), 42 U.S.C. § 12101 et seq.
